These Terms and Conditions (“Terms”) govern your access to and use of Section Marketplace, including our public website, Shopify app, and related services (together, the “Service”). The Service is operated by SLL Solutions Pty Ltd (“we”, “us”, or “our”).
By installing the app, creating an account through Shopify, browsing the Service, or purchasing or downloading any section, you agree to these Terms. If you do not agree, do not use the Service.

These Terms apply to Shopify merchants and their authorised staff who use the Service (“you”). If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
Section Marketplace provides a catalogue of pre-built Shopify theme sections and related digital assets (“Sections”). Through the Service you may browse Sections, purchase or obtain free Sections, gift Sections to another store (where available), install Section files into a Shopify theme, and receive support related to those Sections.
We may update, add, remove, or discontinue Sections, features, pricing, or the Service itself at any time. Where a change materially affects a Section you already own, we will use reasonable efforts to avoid disrupting your access to that purchase record.
The Service runs on and integrates with Shopify. Your use of Shopify is governed by Shopify’s own terms and policies. We are not responsible for Shopify outages, billing systems, theme editor behaviour, API changes, or account issues outside our control.
You must maintain a valid Shopify store and any required Shopify permissions for the Service to function (including theme read/write access where needed to install Sections).
Access to purchasing and installation features requires authentication through Shopify. You are responsible for activity that occurs under your shop’s authenticated session and for keeping your Shopify account secure.
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to purchase paid Sections.

When you successfully purchase a paid Section, or confirm a free Section, we grant your nominated Shopify store a non-exclusive, non-transferable (except as expressly permitted for gifting), perpetual licence to use that Section on that store for as long as the store remains active and these Terms are not terminated for your breach.

Unless we expressly state otherwise, each purchase or free confirmation is licensed to one Shopify store. Using the same Section on another store requires a separate purchase for that store, or a completed gift acceptance where gifting is offered.

Ownership of underlying intellectual property in Sections remains with us or our licensors. You receive a licence, not a transfer of copyright, except for your own customisations which remain yours.
Prices for Sections are shown in the Service and may change at any time before purchase. Free Sections may still require confirmation in the app so we can attach them to your store’s purchase record.
Paid purchases are processed through Shopify’s billing systems. Taxes, currency conversion, and payment methods are handled according to Shopify’s processes and your Shopify account settings. We do not store your full payment card details.
A purchase is complete when Shopify confirms payment (or when a free Section is successfully added to your store). Delivery is digital and typically immediate via access in the app (for example under My Sections).
Where gifting is available, you may purchase a Section for another Shopify store that has Section Marketplace installed. A gift is not complete until the recipient accepts it in the app. Until acceptance, licence rights for the gifted Section do not transfer to the recipient store.
You are responsible for providing an accurate recipient shop domain. We are not responsible for gifts sent to the wrong store due to incorrect information you enter.
“Add to theme” installs Section files into a theme you select. You remain responsible for placing the Section on pages in the Shopify theme editor and for testing before using a Section on a live storefront.
Most Sections are designed for Online Store 2.0 themes. We do not guarantee compatibility with every theme, especially legacy themes, heavily customised themes, or themes that conflict with Section assets. We recommend installing and testing on a duplicate or draft theme first.
Re-installing a Section may overwrite files with the same filenames in the selected theme. Back up customisations before re-installing or making major theme changes.
We may release improvements to Sections you own. Where updates are available, you can typically re-install the Section from the app. Updates are provided as-is and may change markup, settings, or styling.
Support is available by email at support@sectionmarketplace.app. We aim to respond within a reasonable time but do not guarantee response times or that every issue can be resolved, especially issues caused by third-party themes, apps, or custom code.
Sections are digital products delivered immediately upon purchase or confirmation. Accordingly, all sales are generally final and we do not offer refunds solely because you changed your mind, selected the wrong Section, or later decide a Section does not suit your store’s design preferences.
If a Section has a material technical defect that we cannot reasonably resolve, contact us promptly with your shop domain, Section name, and a description of the issue. We may, at our discretion, provide a fix, a replacement licence, store credit toward another Section, or a refund.
Nothing in these Terms excludes any non-waivable rights you may have under the Australian Consumer Law or other applicable consumer protection laws.

We may suspend or terminate access if we reasonably believe you have breached these Terms or pose a risk to the Service or other users.
The Service, including our website design, branding, catalogue presentation, software, and original Section code/assets (excluding your store content and your own edits), is protected by intellectual property laws and remains our property or that of our licensors.
You may not use our name, logo, or branding without prior written permission, except for reasonable factual references to the Service.
The Service may rely on third-party providers (for example hosting, email delivery, analytics, and Shopify). Those providers are governed by their own terms. We are not responsible for third-party services we do not control.
To the maximum extent permitted by law, the Service and Sections are provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, or that Sections will meet every commercial objective or design expectation.
You are responsible for reviewing previews, descriptions, and testing Sections in your theme environment before relying on them in production.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or reputational harm arising from your use of the Service or Sections.
Where liability cannot be excluded, our aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid us for the specific Section giving rise to the claim in the 12 months before the claim, or (b) AUD $100.
These limitations apply regardless of the legal theory (contract, tort, statute, or otherwise), even if we have been advised of the possibility of such damages.
You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Service or Sections, your breach of these Terms, or your violation of any law or third-party rights, except to the extent caused by our wilful misconduct or fraud.
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you also acknowledge that policy.
We may update these Terms from time to time. The “Effective Date” at the top of this page will be revised when changes are posted. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. For material changes affecting existing paid licences, we will take reasonable steps to notify you (for example by email or in-app notice) where practicable.
You may stop using the Service at any time, including by uninstalling the Shopify app. Uninstalling may affect future access to purchase history and updates through the app, but does not automatically revoke the licence for Section files already installed in your theme, subject to these Terms.
We may suspend or terminate access if you materially breach these Terms and fail to remedy the breach within a reasonable time after notice (or immediately for serious breaches such as unauthorised redistribution).
Sections that survive termination include licence restrictions, intellectual property, disclaimers, limitation of liability, indemnity, and governing law.
These Terms are governed by the laws of Victoria, Australia, without regard to conflict of law principles. Subject to any non-waivable consumer rights, the courts of Victoria, Australia have exclusive jurisdiction over disputes arising from these Terms or the Service.
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject. Our failure to enforce a provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
